These terms and conditions apply to every photography and film assignment booked with Ravi Press Photo, a sole proprietorship trading as Ravi Studios (“the Studio”, “we”, “us”). “The Studio” includes our photographers, videographers, editors and assistants. “The Client” means the person or people who book our services.

Together with the quotation or estimate for your booking, these terms form the agreement between the Client and the Studio.

01Copyright
1.1

The Studio retains the entire copyright in all photographs, films and other works it creates (“the Works”), at all times and throughout the world.

1.2

Where the Works have been reproduced and no settlement has been made, the Studio will charge the publisher of those images in accordance with the Copyright Act, 1957.

02Display and promotion
2.1

The Client allows the Studio to display any photograph covered by this agreement and to promote its business generally in advertising, social media, brochures, magazine articles, websites, sample albums and similar.

03Creative licence, coverage and reproduction
3.1

Photographs taken during the event are at the Studio’s discretion, although every effort will be made to meet the Client’s requirements.

3.2

Special requests are not binding instructions, although every effort will be made to meet the Client’s wishes. The Studio will do its best to capture requested photographs but does not guarantee any specific picture, or any specific background, location or group arrangement, because of changes in weather and the availability and willingness of subjects.

3.3

At ceremonies in a church, temple or other religious place, or at certain venues, the official in charge of the venue may restrict the photographer’s movements. The area from which the ceremony can be covered may not be of the photographer’s choosing, and the Studio cannot accept responsibility for any obstructed view in that case.

3.4

Because of varied lighting conditions and the limitations of digital sensors, some colours may vary across a set of photographs.

3.5

The Studio is not liable for publishing any video or audio deliverable on the internet.

3.6

Although all equipment is checked regularly and reasonable steps are taken to have backup equipment available, the Studio will not be responsible for photographs that are not produced because of technical failure.

3.7

Candid, documentary coverage. The Client acknowledges that the Studio’s photographers and videographers will document the event in a candid, observational way, based on the conditions on the day and unscripted moments as they naturally happen. This is not a cinematic production or a staged recreation. The videographer will use their experience and discretion to capture footage that reflects the essence and reality of the live event. The final videos will show only what unfolds naturally on the day, not manufactured or dramatised scenes. The Client agrees not to expect or demand unrealistic lighting, poses or immaculate studio-style shoots. The videographer’s priority is to capture authentic moments unobtrusively, as they happen.

3.8

Cooperation of religious officiants. The appointed priest or religious figure must cooperate with the photographers during the event. This cooperation is essential to document the ceremony effectively.

3.9

Focus on the couple. The couple remain the primary focus; group coverage is not guaranteed. Despite our efforts, some moments may not be captured. Best endeavours will be made.

04Payments

The Client agrees to pay under one payment plan, chosen by the Client, for the assignment agreed between the Client and the Studio. The payment plans are: (a) one-time full payment (clause 4.1), or (b) part payment, 50%–50% (clause 4.2).

4.1 One-time full payment

4.1.1

A non-refundable booking fee, or 20% of the package price, whichever is lower, confirms the booking and the Client’s full acceptance of these terms and conditions. The booking fee is deducted from the price of the Client’s chosen package when the final balance is calculated.

4.1.2

The full amount (100%) is payable in advance within 15 days of the booking date (including the booking fee).

4.2 Part payment (50%–50%)

4.2.1

A non-refundable booking fee, or 20% of the package price, whichever is lower, confirms the booking and the Client’s full acceptance of these terms and conditions. The booking fee is deducted from the price of the Client’s chosen package when the final balance is calculated.

4.2.2

Half (50%) of the total amount is payable in advance within 15 days of the booking date (including the booking fee).

4.2.3

The remaining half (50%) of the total amount is payable within 14 days of the last event.

05Extra expenses
5.1

Where the Studio incurs extra expenses or time as a result of changes to the original brief by the Client, or otherwise, the Client will approve and be liable for those extra expenses or fees, in addition to the fees and expenses shown on the estimate as agreed or estimated.

06On the day
6.1

The Studio will be the sole professional (still) photographer at the venues specified. We do, however, positively encourage family, friends and other guests to take photographs throughout the day.

6.2

The photographer will not take photographs during the wedding breakfast and will use this time to take a break.

6.3

The photographer will stay to photograph beyond the first ceremony, for approximately 2–3 hours longer. Any photography after this time is at the photographer’s discretion, or if expressly agreed in writing beforehand.

6.4

Meals. The Client will provide meals for the photographer and assistants according to the schedule of the event. If the proceedings on the wedding date span the morning, afternoon and evening, the Client will provide breakfast, lunch and dinner for the Studio team. If they include only an afternoon ceremony and an evening reception, the Client will provide lunch and dinner. If they include only an evening reception, the Client will provide dinner. Meals will be the same as those served to guests. Under no circumstances should the Studio team be expected to provide their own meals during the contracted event.

07Failure to perform
7.1

If the Studio is unable to provide its services because of illness, equipment breakdown, accident, Act of God or any other cause beyond its control, it will try to arrange another professional photographer to fulfil its obligations. If that does not succeed, the Studio will refund any fees paid by the Client and will have no further liability under this agreement, and the Studio will not be responsible or liable for any other damages beyond the amount of this agreement.

08Cancellation or postponement
8.1

If the Client, or anyone acting for the Client, postpones or cancels an assignment, or cannot reschedule it to a date and time agreeable to the Studio, the Client is responsible for all expenses incurred up to the time of postponement or cancellation, plus:

8.1.1

thirty per cent (30%) of fees for a postponement or cancellation less than twenty-four hours before the scheduled time; or

8.1.2

fifty per cent (50%) of fees for a postponement or cancellation after the Studio has left for the location.

8.2

The same assignment can be rescheduled to a later date only with the Studio’s agreement; the full fee and any additional expenses will be charged for the actual shoot.

8.3

If the same assignment is to be rescheduled to a later date and the Studio cannot agree to the new dates because of other bookings or any other circumstances, the Studio will refund the amount paid except the booking fee or 20% of the package price, whichever is lower. The Studio will then have no further liability under this agreement and will not be responsible or liable for any other damages beyond the amount of this agreement.

8.4

Cancellation and postponement fees apply whatever the reason, specifically including, but not limited to, weather conditions, Act of God or the fault of a third party.

09Delivery timelines
9.1

The Studio will try to deliver the digital RAW files as quickly as possible. During busy periods this can take up to 4–6 weeks.

9.2

The Studio will try to deliver the complete deliverables as quickly as possible. During busy periods this can take up to 3–6 months.

Once the online gallery is ready and delivered, the Client will be able to view it only.

11.2

The Client can download pictures from the online gallery only after paying any pending dues.

11.3

The Studio may disable the Client’s online gallery, or revoke access to deliverables shared through any storage or web link, at any time if payment is not received or pending dues are paid late (one-time, part or EMI payments).

11.4

Offline data deliveries and download links will be provided only after full payment.

11.5

Online gallery access is free for twelve months only. After that, the Client must pay for an online gallery subscription.

11.6

The Studio may disable the Client’s online gallery, or revoke access, if online gallery subscription charges are not paid.

12Temporary freeze of an assignment
12.1

If the Client stops responding to payment reminders, cannot pay on the agreed dates or delays payment, the project’s status will change from “running” to “temporarily frozen” until the Client responds.

12.2

The Studio may put all processing of a frozen project on hold.

12.3

The Studio may disable the Client’s online gallery, or revoke access to deliverables shared through any storage or web link, on a frozen project.

12.4

Work on the project will restart only after the Client pays the pending dues.

13Archiving digital files
13.1

While the Studio may choose to archive the images, it is the Client’s responsibility to store and archive them properly for the duration of the licence. The Studio cannot guarantee that any image will be available after the date it is first delivered to the Client.

13.2

The Client understands that optical, magnetic, electronic and all other media for storing digital data are inherently unstable. The Client releases the Studio and its assigns, contractors and representatives from any liability for claims, damages or costs arising from any media supplied by the Studio becoming unusable.

13.3

If the Client asks for copies of earlier work from the Studio’s archives, a fee of ten per cent (10%) applies for supplying them. If no archive exists, the Studio will not be held liable.

14Digital file quality
14.1

The Studio is committed to providing high-quality services. Unless otherwise specified, the Studio may deliver, and the Client agrees to accept, the images in an industry-standard file format chosen by the Studio, at a resolution the Studio considers suitable for the subject matter and for the reproduction technology and uses for which the images are licensed.

14.2

Because monitor calibration, software and computer platforms vary, digital files may look different on different screens. Neutrals are therefore set for mathematical neutrality, and colour is adjusted for pleasing tones.

14.3

The Client is responsible for checking that the digital data, including any colour profile provided, is suitable for reproduction at the expected quality and colour accuracy, and that all necessary steps are taken for correct reproduction. If the data is not suitable, the Studio’s only obligation is to replace or repair it. In no event will the Studio be liable for poor reproduction quality, delays, losses, expenses or consequential damages resulting directly or indirectly from defects or errors in digital files or their use.

15Print quality
15.1

The Studio is committed to using high-quality products. However, the Client understands that colour dyes, toners, inks and other materials used in photography may fade or discolour over time. The Client therefore releases the Studio and its assigns, contractors and representatives from any liability for claims, damages or costs arising from fading or discolouration of photographic prints.

16Power supply and space for equipment
16.1

A 5 amp, 220–230 volt power supply must be provided at the reception venue, along with a 4 ft × 2 ft table for setting up our audio recording equipment and laptops.

17Limitation of liability for data loss
17.1

The Studio agrees to provide the photo files to the Client once editing is complete, as set out in this agreement. However, the Studio is not responsible for unforeseen data loss caused by hard-drive failure, file corruption or other technical problems before delivery. The Studio will make reasonable efforts to back up and protect all photographs taken, but will not be liable for any data loss or inability to deliver photographs caused by technical problems or Acts of God beyond its control. The Client agrees that the Studio’s maximum liability for any lost or damaged photographs is limited to a refund of the amounts paid under this agreement.

18Acceptance of terms
18.1

The Client may not assign or transfer this agreement or any rights granted under it. This agreement binds the Client and benefits the Studio, as well as their respective principals, employees, agents, affiliates, heirs, legal representatives, successors and assigns. The Client and its principals, employees, agents and affiliates are jointly and severally liable for all payments and other obligations under this agreement.

18.2

No amendment or waiver of any term is binding unless it is in writing and signed by the parties. Email and electronic signatures are legal and binding. However, the invoice may include, and the Client is bound by, the Client’s oral authorisations for additional images, fees and expenses that could not be confirmed in writing because of the immediate need to complete the assignment.

18.3

If any provision of this agreement is unlawful, void or unenforceable for any reason, that provision will be treated as severable and will not affect the validity and enforceability of the remaining provisions.

18.4

In addition to oral and written agreements, any use of the images by the Client constitutes acceptance of all the terms and conditions above.

18.5

Agreement by use. By using the Studio’s photography services, the Client agrees to the terms and conditions in this photography services agreement, whether or not it has been formally signed. Allowing the Studio to provide photography services at the scheduled event constitutes full acceptance of this agreement and makes its terms fully enforceable.
